These Terms of Use apply when you use ThesisAI and any other services provided by SIRIUS NLP LLC, including related software and websites (the "Services"). By creating an account or using the Services, you accept these Terms - including the important section on dispute resolution through arbitration.

Eligibility & accounts

You must be at least 13 years old, or the minimum age of consent in your country. Users under 18 need permission from a parent or legal guardian. When you register, your account information must be accurate and complete, and you're responsible for everything that happens under your account. Don't share credentials. If you're signing up on behalf of someone else or an organisation, you must be authorised to bind them to these Terms.

What you may not do

Don't use the Services for anything illegal, harmful, or abusive. Specifically:

• Infringe, violate, or misappropriate anyone's rights through our Services.
• Alter, reproduce, lease, sell, or distribute our Services.
• Reverse engineer or attempt to uncover source code, models, or algorithms, except where legally permitted.
• Scrape or extract data and outputs automatically or programmatically.
• Pass off AI-generated output as human-written when it isn't.
• Disrupt the Services, evade restrictions, or bypass safety measures.
• Use outputs to train a competing AI service.

Third-party integrations & feedback

The Services may include third-party software and platforms, each governed by their own terms - we aren't responsible for those. If you send us feedback, we can use it freely, without owing you anything in return.

You may supply input ("Input") and receive output ("Output") from our Services - together, "Content." You're responsible for ensuring your Content complies with these Terms and applicable law, and that you have the necessary rights and permissions for your Input.

Ownership

You retain ownership of your Input and own the Output. To the extent any rights in Output would otherwise belong to us, we assign them to you. Because AI is probabilistic, similar Outputs may be generated for other users - our assignment of rights doesn't cover anyone else's Output.

How we use Content

We may use Content to operate and improve the Services, comply with law, enforce these Terms, and keep the platform safe. We will not use any customer data - inputs, outputs, or generated content - for showcasing, publishing to our Examples pages, or any public display without your explicit written consent.

We continuously refine the Services for better accuracy and reliability. But machine learning is probabilistic by nature, and Outputs may not reflect reality. Output is not a substitute for professional advice. Evaluate Output for accuracy before relying on it, and don't use Output about individuals to make decisions that significantly affect them legally or materially. Incomplete, incorrect, or offensive Output does not reflect SIRIUS NLP LLC's views, and references to third-party products in Output don't imply endorsement.

Subscription & payment

When you purchase a subscription, you provide a valid payment method. We bill it automatically at each renewal until you cancel. Applicable taxes are charged on top. If a payment fails, your account may be downgraded or suspended until payment clears.

Cancellation & pricing changes

You may cancel your subscription at any time. Payments already made are non-refundable except where required by law - local cancellation-right laws take precedence over these Terms. If we change prices, the new rate applies from your next renewal, so you have time to cancel if you disagree.

Service credits

Some Services can be prepaid via credits. Credits aren't legal tender, have no monetary value, can't be exchanged for cash, and are non-transferable.

• Prepaid credits - advance payment for specific Services. Non-refundable. Expire 12 months after purchase unless stated otherwise.
• Promotional credits - issued at no cost as part of an offer. May not be applied to certain taxes.
• Monthly subscription credits - refresh at the start of each billing period. Unused credits do not roll over.

Attempting to transfer, sell, gift, or trade Service Credits is prohibited and may result in revocation, suspension, or termination of your account.

You may stop using the Services at any time. We may suspend or terminate your access, or delete your account, if legal compliance requires it, if your usage poses a risk to us or others, or if your account has been inactive for over a year without a paid subscription. If you believe your account was wrongfully suspended, contact our support team to appeal. If we ever decide to shut down a Service, we'll give you advance notice and refund any prepaid unused services.

THE SERVICES ARE DELIVERED "AS IS." WE, ALONG WITH OUR AFFILIATES AND LICENSORS, DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED, INCLUDING STATUTORY) RELATED TO THE SERVICES, UNLESS SUCH DISCLAIMERS ARE LEGALLY PROHIBITED. THIS INCLUDES WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE MAKE NO GUARANTEES THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

WE AND OUR AFFILIATES OR LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, USAGE, OR DATA - EVEN IF WE'VE BEEN INFORMED OF THE POSSIBILITY. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICES OR $100. WHERE LAW PROHIBITS THESE LIMITS, OUR RESPONSIBILITIES ARE LIMITED TO THE GREATEST EXTENT LEGALLY PERMISSIBLE.

Businesses or organisations agree, where legally permissible, to indemnify SIRIUS NLP LLC, our affiliates and personnel against expenses, losses, liabilities, and legal fees arising from third-party claims tied to your use of the Services or breach of these Terms.

Any disputes related to these Terms or our Services will be resolved through binding arbitration. Before initiating arbitration, both parties agree to attempt informal resolution by notice - if unresolved within 60 days, either party may proceed. Disputes must be brought individually; class arbitrations, class actions, and representative actions are not permitted. Requests for public injunctive relief are to be litigated in court separately. Both parties waive the right to a jury trial. If any part of these arbitration terms is found unenforceable, the rest remains in effect.

To report a potential copyright violation, contact us at the address below or complete our online form. We reserve the right to remove or disable access to allegedly infringing content. Repeat infringers may have their accounts terminated.

Your written notice should contain: (i) the authorised representative's physical or electronic signature; (ii) a detailed description of the copyrighted material allegedly infringed; (iii) the specific location of the infringing material on our site; (iv) your contact information; (v) a good-faith declaration that the use is unauthorised; and (vi) a statement under penalty of perjury that the notice is accurate and you're authorised to represent the rights holder.

These Terms are governed by Florida law (excluding conflict-of-laws principles), and claims must be filed in Florida federal or state courts, subject to the arbitration section above. Our affiliates, suppliers, licensors, and distributors are also beneficiaries of these Terms.
